Jayson Werth started Icon Racing with a goal of bringing more owners into a sport that he has fallen in love with. We achieve this by showing our partners the amazing and thrilling elements of thoroughbred horse ownership while guiding them through the process of becoming a horse owner. We focus on ease of ownership and maximum transparency with our partners. We also focus on the fun of being at the races and watching our horses run and win together. With a Belmont stakes winner and back-to-back Kentucky Derby runners, Jayson has demonstrated proven success in acquiring and developing equine athletes that can win on the track the same way he won a World Series on a baseball diamond.
To achieve this, we sell “units” in our partnerships to “accredited investors” for a one-time fee and no expected capital calls. Our goal is to limit each partnership to no more than 40 partners to create a “family” feel to our ownership groups. From this fee, we charge no management fees and no mark-ups on any of our expenses. Whatever costs we incur to buy, transport, train and care for our horses, we share among our partners proportionate to their unit ownership. Our Icon founders are also investors in the partnership units at the same terms. Additionally, we provide daily and weekly updates on our horses and quarterly updates on our finances to ensure you are always aware of how your horses are doing and how we are deploying our capital. One of the unique aspects of Icon Racing is that we are also creating a media enterprise to support our racing business and inform our partners. Through our media efforts, you will be able to follow the development and success of your racehorses on social media, podcasts and our media company landing page. Your only job as an Icon partner is to participate in the action and enjoy watching our horses run and win!
For each partnership, we seek to raise $3 million to $4 million in capital from roughly 30-40 members. Each member’s capital is deployed to purchase, race and maintain thoroughbred racehorses. As stated above, there are no management fees or mark-ups applied to any of our horses or costs. We typically deploy 65% of our raised capital towards the purchase of racehorses and 35% of our capital towards maintaining and caring for the horses during their 2-year-old and 3-year-old racing seasons. At the conclusion of their 3-year-old racing seasons, our model is to liquidate the racing assets and return all capital including cash on hand and sales proceeds from the horses back to our partners and wrap up the partnership. There will be occasions where it will make financial sense to keep some horses in training for their 4-year-old racing season, subject to the approval of our partners.
Each Icon Racing Partnership invests inracehorses born in a certain year. For example, our first partnership, Icon Racing: Affirmed(formed in 2024), purchased 10 horses born in 2023 who will reach racing age at two years old in 2025. These horses were purchased in 2024 and 2025 at a combination of yearling sales and two-year old in training sales. Our sweet spot is looking for quality equine athletes in the price range of roughly $200,000 to $300,000 that can race and win at the highest levels of the sport.
Picture this. You are at the races to watch one of your horses compete at the highest levels of the sport. You are decked out in amazing fashion and surrounded by friends, family and fellow Icon Racing partners. Throughout the month, you have been receiving information, pictures and videos of your horse as he/she trains and readies for this race. You get up close and personal on the day before the race by visiting your majestic equine athleteback at the barn and are excited for the race. Before the horses hit the track, you join the other owners in the paddock area to watch your horse get saddled while you talk to the trainer and jockey. As the horse heads to the track, you follow him/her through the tunnel to the track and anxiously await the start of the race. Your heart is racing from the excitement and anticipation for the race. The gates open and your horse starts running. As they enter the stretch, you beginjumping up and down and screaming while he or she crosses the wire first. You rush down to the winner’s circle for a photo of your winning horse with your family and fellow Icon partners and the party begins. There is no feeling like it. Jayson compared it to winning the World Series with the Philadelphia Phillies.
Each Icon Racing partnership is created by selling membership interests or “Units” into the Company to “accredited investors” that satisfy the requirements of such title as defined by the Securities and Exchange Commission. The Membership Interests are not “Securities” as defined under the Securities Act of 1993 (the “Act”) and applicable State securities laws (the “State Laws”). Consequently, the Units have not been registered under the Act or the State Laws. The Units are subject to restrictions on transferspursuant to the terms and conditions contained within the Operating Agreement of the Company. Further, the Company has no current plans to register the Units
